FISHTACTICS WEB SYNDICATION TERMS OF USE BY SELECTING THE 'ACCEPT' BUTTON BELOW, YOU AGREE TO USE AND DISPLAY FISHTACTICS WEB SYNDICATION AND ANY INFORMATION IT CONTAINS (the "FWS CONTENT") ON YOUR WORLD WIDE WEB SITE (THE "SITE") ACCORDING TO THE FOLLOWING TERMS: 1. TACTICS DESIGN CORPORATION ("TDC", or "us") may alter or discontinue any aspect of the FWS Content, in whole or in part, at any time without notice. 2. You will exhibit and display the FWS Content in its entirety without any alteration or deletion, including all credits, copyright notices, trademarks and hyperlinks included in the FWS Content. 3. You may not edit, alter, modify or prepare any derivative works of the FWS Content. 4. You may not imply that TDC endorses or approves of other content included within the Site or any products or services advertised in or near the FWS Content. 5. You may not resell, sublicense, retransmit or otherwise distribute any of the FWS Content in its raw or unaltered form or format. 6. TDC has the right to review and approve the manner in which the FWS Content is displayed on the Site. If TDC is dissatisfied with the manner in which the FWS Content is displayed, TDC will provide you with written notice. Upon receiving this notice, you agree to immediately discontinue any and all use of the FWS Content on the site. 7. TDC may also sell advertising included with the FWS Content, and will be entitled to keep all such advertising revenue. 8. Copyright and Trademarks: You understand and agree that TDC is the sole owner of all rights, title and interest in and to the FWS Content, including all copyrights and trademarks therein. All uses of these trademarks and copyrights shall enure to our benefit. You disclaim any right, title or interest in or to these trademarks and copyrights and will not take any action to create a unitary composite mark. You agree not to do anything contesting or impairing our rights in and to these trademarks and copyrights. 9. You agree to execute and to cause your officers, directors, employees and agents to execute any documents that TDC may request for the purpose of evidencing, enforcing, registering or defending our ownership of that intellectual property. 10. You will defend, indemnify and hold harmless TDC and its affiliates against any loss, cost or damage arising out of any claim by third parties relating to the Site. 11. No Warranty. ALL INFORMATION INCLUDED WITHIN THE FWS CONTENT IS PROVIDED "AS IS". TDC MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE FWS CONTENT, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY WITH RESPECT TO THE ACCURACY OF THE CONTENT, ITS MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. TDC SPECIFICALLY DISCLAIMS ANY REPRESENTATION OR WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION. 12. Limitation of Liability. In no event will TDC be liable under any legal theory for any indirect, special, incidental, punitive, exemplary, consequential or similar damages, including lost profits or revenues, arising out of or in connection with the performance or nonperformance of the FWS Content, or for any claim made against a party by any other entity, even if such party has been advised of the possibility of such claim. 13. This Agreement shall be governed by and construed in accordance with the laws of the province of British Columbia and the federal laws of Canada applicable therein. The terms of this agreement have been drawn up in English.
